1. Definitions

1.1 "Agreement" refers to these Wholesale Terms and Conditions.

1.2 "Agnoulita" refers to Agnoulita Hats, registered in Athens, Greece.

1.3 "Buyer" refers to the approved wholesale customer purchasing products.

1.4 "Products" refers to hats and accessories manufactured by Agnoulita.

1.5 "Order" refers to a purchase order submitted by the Buyer.

1.6 "Territory" refers to the geographical area where the Buyer is authorized to sell.

2. Application and Acceptance

2.1 Qualification Requirements

  • Valid business registration
  • Physical retail location and/or established e-commerce presence
  • Minimum two years in business
  • Demonstrated ability to meet minimum order requirements
  • Compliance with our brand positioning guidelines

2.2 Application Process

  • Submission of completed wholesale application
  • Verification of business credentials
  • Initial consultation with Agnoulita representative
  • Sample order evaluation (if applicable)
  • Final approval and account setup

2.3 Account Maintenance

  • Annual review of account status
  • Compliance with minimum annual purchase requirements
  • Maintenance of brand standards
  • Regular update of business information

3. Ordering and Production

3.1 Minimum Orders

  • Initial order: 48 pieces minimum
  • Reorders: 24 pieces minimum
  • Sample orders: Maximum 3 pieces at wholesale pricing

3.2 Order Process

  • Written purchase order required
  • Order confirmation within 3 business days
  • 50% deposit required to initiate production
  • Final payment due before shipping

3.3 Lead Times

  • Standard production: 10-12 weeks
  • Rush orders: Subject to availability and additional fees
  • Sample orders: 4-6 weeks
  • Holiday season orders require additional lead time

3.4 Order Modifications

  • Changes permitted within 48 hours of order placement

  • Changes after production starts are not accepted

4. Pricing and Payment

  • Standard 40% discount off retail pricing
  • Volume discounts available for orders over 96 pieces
  • Prices subject to change with 30 days notice
  • Special pricing for annual commitment agreements

4.2 Payment Terms

  • 50% deposit upon order confirmation
  • Balance due before shipping
  • All prices in EUR or USD
  • Payment methods:
    • Bank transfer (preferred)
    • International wire transfer
    • Credit card (3% processing fee)

4.3 Late Payments

  • Orders held for late payments
  • 2% monthly interest on overdue balances
  • Account suspension for repeated late payments
  • Collection fees responsibility of Buyer

5. Shipping and Delivery

  • Custom orders are final sale
  • Return shipping costs borne by:

    • Buyer for non-quality returns

6.4 Warranty

  • 12-month warranty against manufacturing defects
  • Normal wear and tear not covered

7. Intellectual Property Rights
